When i think of "passed out" i think they are uber drunk, or super sleepy. When i hear "fainted" i think of someone being so scared, or so hurt that they just lose consciousness.

fainted sounds girly and just like someone being shocked about something. passed out sounds like either being drunk, or something very very bad
